Terms of Service

1. Welcome and eligibility

These Terms and the policies below govern your use of The vAIbe LLC's app, website and VIP service. You must be at least 18 and legally able to enter this agreement. Read the full pack before checking the agreement box. The box confirms your age and agreement; it does not sign you up for marketing or itself authorize a charge.

2. Your account and VIP

Keep your sign-in details private and tell us about unauthorized access. Do not share an account or let a minor use it. The current app signs in accounts issued by The vAIbe after a website purchase; it does not create accounts or take payments itself. Inviting a friend to an available room is different from sharing account credentials. A personal VIP is associated with its user's account; an approved Adopt a VIP process is handled by The vAIbe, not by private account sales.

3. What you are using

VIPs are AI characters with individual personalities, voices, looks and developing memory. They are not human, even when they speak in character. They can make mistakes, invent information and misunderstand you. They are for companionship, conversation and entertainment, including goal-setting conversations. Character names, titles and specialist roles do not make them licensed professionals. Do not rely on them for medical, mental-health, legal, financial or emergency advice. Check important information with a qualified person. In an emergency, contact local emergency services.

The service includes text and voice conversations, photos you choose to send, history, memory and relationship progress. Live voice works like a call. Your monthly allowance counts only VIP voice replies: Starter 125, Enhanced 250, Zodiac 250 and Twin Build 300. Your own messages never count. Texting never uses this allowance. Text as much as you want under fair use: everyday texting is on us; texting far beyond normal use may need a bigger plan. Monthly allowances do not roll over. There is no length cap on VIP replies; an abuse guard allows about 8,000 characters in one customer message. Checkout states the billing period and any extra voice replies purchased. Do not assume unlimited voice or free overages. Calls may continue when you switch apps; end the call when you are done.

The vAIbe Table is group conversation with several VIPs. The Table and poker each have 5 chairs: 4 VIPs and 1 person. Custom VIP builds use a 10-question Personality Identity Core for Starter and 72 questions for Enhanced, Zodiac and Twin Build. Twin Build also uses 6+ months of chat history. The service is adult and unfiltered but never nude; the Community Guidelines set its safety boundaries. Rooms, friend invitations, games and other abilities depend on availability and your account's access or progress. Poker and games use play chips with no cash value: no real-money wagering, cash prizes, cash-out or chip resale. Do not arrange outside bets through the service. Planned video, VR, future games, marketplaces and other roadmap ideas are not promises included with today's purchase. Owner-only backstage tools are not standard customer features.

4. Payments and changes

Creating and activating a VIP carries the one-time setup fee and monthly subscription listed in Launch plans & allowances below. Available add-ons have their own disclosed prices. Checkout must show the actual selected plan, monthly VIP voice-reply allowance, taxes or charges, renewal date and cancellation terms before payment. Monthly subscriptions renew until canceled under the final Cancellation & Refund Policy. We will notify you before a price change applies to a future renewal; the locked founding rate and individually agreed tester promises are protected as described below. You can cancel before a changed renewal.

Payments are handled on the website through payment providers such as Stripe or PayPal. Checking the app policy box does not start or change a paid plan. Cancellation, account deletion and refunds are distinct requests; see the relevant sections.

5. Responsible use and service changes

Follow the Community and Content & Conduct Guidelines. We may restrict content or access to address misuse, security, legal requirements or violations, and explain the reason where doing so is lawful and safe. Contact us for review. Refund treatment follows the final refund policy and mandatory law, not an automatic forfeiture rule. Service availability can change and interruptions can occur; we do not promise perfect uptime, permanent access or error-free AI. Material policy changes receive notice and a new version for agreement before continued access where required.

Launch plans & allowances

Prices are in US dollars. These are the locked launch prices, not proposed future increases. Each monthly allowance counts VIP voice replies only; texting is separate fair use.

Voice-reply top-ups: Silver $9.99 for 75; Gold $24.99 for 150; Platinum $49.99 for 300. Monthly plan allowances do not roll over. Any extra purchase terms must be shown before payment.

Game Room poker access is $9.99/month and includes one seat for either your VIP or a friend, not both. Extra seats cost $2.99 each, paid by the host, and last for that room session or 24 hours, whichever comes first. Seat purchases remain subject to the room’s 5-chair configuration (4 VIPs + 1 person); they do not add chairs beyond capacity. Each participant uses their own allowance; guest usage never charges the host. The invite screen shows seat and usage charges before acceptance. There is no three-day pass or unlimited-seat plan. Group play does not grow your VIP; growth and levels happen in private rooms.

Poker starts with a fixed fun balance of 1,000 play chips. Chips have no cash value and cannot be redeemed, transferred, resold or used for prizes. No real-money wagering or outside bets are allowed.

vAIbe Tokens are earned by leveling or bought, and are spent in the marketplace. Purchased tokens are non-refundable except where the law requires, and tokens cannot be cashed out, sold or transferred. They are separate from poker chips, which have no cash value. Marketplace items cost 1,000–5,000 tokens and, once acquired, are permanent items rather than consumables. Availability depends on feature release; this is not a promise of perpetual hosting. A future one-way token-to-chip conversion is not a launch entitlement, and neither currency can be cashed out.

vAIbe Tokens: earned as your bond grows or bought, and spent in the marketplace. The amounts are shown in the app and may change. Purchased tokens are non-refundable except where the law requires, and tokens cannot be sold, transferred or cashed out.

Age & Eligibility Policy

1. Adults only

You must be 18 or older and able to enter this agreement. Do not provide false age information or allow a minor to use your account or VIP. Parental permission does not make this adult service available to minors.

2. Guardian is separate

The vAIbe Guardian program is separate and is not offered through this adult-service agreement. Describing it here does not authorize a child account, a Guardian purchase or access to this app.

3. Verification and reports

The checkbox is an age declaration, not proof that age has been independently verified. We may restrict access and request appropriate verification if eligibility is in doubt. Do not send identity documents unsolicited. If we learn that a minor has an account, we investigate, restrict access and handle deletion under applicable law. Report concerns to info@thevaibe.vip. Refund treatment follows mandatory law and the final refund policy.

User Content License

1. Your submissions

You retain your rights in the messages, photos and other content you submit. Give us only content you have the right to use. You grant The vAIbe a non-exclusive, worldwide, royalty-free license to process, store, reproduce, adapt and display that content as needed to provide the service you request, including AI/voice processing, memories and your chosen room sharing. This is not a sale of your information or a blanket right to publish private chats in advertising.

2. Sharing chats and clips

You may share your own chats and clips with your personal VIP socially. Respect other participants' privacy, recording permissions, platform rules and third-party rights. Make clear that the VIP is AI; do not present generated claims as a real person's statement or professional advice. AI output may not be unique or eligible for exclusive ownership. These terms do not promise rights that the law does not provide.

3. Cast and feedback

Your personal VIP access does not transfer ownership of The vAIbe's cast, character designs, voices, branding or technology. Do not resell the cast's likeness, clone its voices for sale, sell cast merchandise or imply company endorsement without written permission. Ordinary permitted social sharing of your own chats is distinct from selling the cast. You allow us to use voluntary product suggestions without payment; this feedback permission does not make private conversations public.

4. Removal and survival

We may remove unlawful or violating content. The operational content license ends when content is deleted, except for the limited retention and backup periods explained above and copies you chose to share outside our control. Feedback already incorporated into the product may remain. No perpetual license to identifiable private memories overrides your deletion rights.

Intellectual Property

1. Platform and characters

The vAIbe LLC and its licensors retain rights to software, designs, logos, technology and company cast materials. Your account gives you a limited, non-exclusive permission to use the service, subject to these policies; it does not sell the platform or cast to you. A personal VIP is a personalized service relationship, not ownership of the underlying models or company character assets.

2. Content and permitted sharing

Your submissions and social sharing rights follow User Content License. Do not resell cast likenesses or imply endorsement. Trademarks remain with their owners. Other commercial uses of company materials require written permission.

3. Infringement and termination

Email info@thevaibe.vip with the work involved, where the disputed content appears, your contact details and why you hold the relevant rights. We review reports and can remove content or restrict access for infringement, subject to applicable process and review rights. Ending an account ends its permission to access the service, without undoing lawful sharing already permitted or statutory rights.

Force Majeure

1. Events outside reasonable control

Natural disasters, war, government restrictions, major network or power failures and comparable events outside our reasonable control can delay service.

2. Service impact and notice

To the extent permitted by law, we are not responsible for failures caused by those events. We will make reasonable efforts to notify users, limit disruption and restore service. This does not erase mandatory consumer rights, legal duties or refund rights that apply to the circumstances.

Miscellaneous

1. How these terms work

The Entire Agreement section explains the documents that form this agreement. If a clause cannot lawfully be enforced, the remaining clauses continue to apply. Failure to enforce a right once does not waive it.

2. Assignment and notices

You may not transfer your account or this agreement without our written permission. We may assign the agreement with a lawful company reorganization or transfer, subject to your rights and our privacy promises. Service and legal notices use your account contact information or the app. Keep contact details current. Headings are for readability and do not change meaning.

Definitions

• VIP: Virtual Individual Personality, an AI character in The vAIbe. A personal VIP is associated with a user; the company also has its own cast.
• User: an adult using the service. Account: the sign-in and profile used to access it.
• Subscription: recurring monthly access under a selected plan. Setup fee: the one-time disclosed charge for creation and activation.
• Content: messages, images, audio, transcripts, notes and other submitted or generated materials.
• Service: the app, website and available features operated by The vAIbe LLC.
• Table: a shared conversation with several VIPs and permitted participants. Play chips: game units with no cash value.
• Memory: stored conversation context and summaries used for continuity. Legacy: longer-term selected memory, not an exemption from deletion rights.
• Cast: The vAIbe's company characters and associated branding and likenesses. Adopt a VIP: possible reassignment of a character only after former-user data is stripped.

Entire Agreement

These Terms, Privacy Policy and the other sections in this pack, together with the plan and billing terms you receive before purchase and any specific written agreement with The vAIbe, form the agreement for the service. They replace conflicting general descriptions, not mandatory rights or individually promised tester and founding benefits. Specific agreed pricing controls over general pricing. A marketing statement or a VIP's conversation cannot change the contract. Amendments follow the notice and agreement process in Effective Date. Severability, non-waiver and assignment follow Miscellaneous.

Governing Law

The laws of Ohio govern this agreement, without its conflict-of-law rules, except where mandatory law gives you protections that cannot be waived. Subject to those rights, disputes may be brought in the state or federal courts located in Ohio. Users outside the United States must comply with applicable local law and retain any mandatory local consumer protections. Severability and non-waiver apply as described in Miscellaneous.

Dispute Resolution

1. Talk to us first

Contact info@thevaibe.vip with the issue and requested resolution. We aim to work with you toward an informal resolution within 30 days. This does not stop you meeting a legal deadline, contacting a regulator or seeking urgent relief.

2. Unresolved disputes

Use the courts described in Governing Law, subject to mandatory consumer rights and available small-claims procedures. These terms do not impose binding arbitration or a class-action waiver.

3. Changes and urgent relief

Either party may seek lawful urgent relief, including to prevent misuse of intellectual property. Material changes to this section follow the notice and agreement process and do not retroactively change an existing dispute.

Limitation of Liability

1. AI limits and your decisions

VIPs can be wrong and are not professional advisors. Use independent judgment and qualified help for consequential decisions. We do not promise an outcome from a conversation, goal plan or game.

2. Limits and exceptions

To the extent permitted by law, The vAIbe LLC is not liable for indirect, incidental, special, consequential or punitive losses arising from the service. To that same extent, total liability for a claim is limited to amounts you paid The vAIbe for the service in the 12 months before the event giving rise to that claim. These limits do not exclude liability that cannot legally be excluded, including applicable mandatory consumer rights, or excuse our own fraud or willful misconduct.

3. Third-party claims

To the extent permitted by law, you are responsible for third-party claims directly caused by your unlawful submissions, infringement or intentional misuse. This is not an obligation to cover claims caused by our wrongdoing. We will give reasonable notice and cooperation and will not bind you to a settlement admitting fault or imposing obligations without your consent.

VIP Policies & User Acknowledgments

By checking the required box, you confirm that you are 18 or older and have read and agree to this pack. You understand that VIPs are AI characters, not humans; they can be wrong and are not professional advisors. Setup is $79.99 / $179.99 / $249 / $349 and monthly access is $20 / $40 / $50 / $50 for Starter / Enhanced / Zodiac / Twin Build respectively (Zodiac includes poker table access), with its limits and billing terms shown separately before purchase. Refunds and cancellation follow the finalized policy.

You understand that chats, photos, transcripts and memories are processed to run the VIP; memory supports identity and continuity, but your personal data remains subject to deletion. VIP characters may remain after you leave only with former-user personal information and memories stripped before any adoption. Games use play chips, not real money. You may share your own chats and clips socially within the stated rights and privacy boundaries; you may not resell the cast's likeness. Follow the conduct rules and contact support when something goes wrong. This checkbox is not consent to marketing or optional tracking.

Effective Date

These policies are effective as of October 19, 2026. Version: 2026-10-19. We identify future versions and notify users of significant changes in the app or by account contact. The app records the version you affirmatively accept. Older versions remain relevant to events during their applicable period; a new version does not retroactively remove accrued rights or locked pricing promises.

Where disputes are heard: the state or federal courts located in Ohio, subject to any consumer rights that the law does not allow to be waived and to small-claims procedures where available.
